With over 15 years of corporate and commercial law experience, Daniel founded Arkansas Valley Business Law to provide cost-effective legal services and serve the local needs of businesses and remote startups in the Arkansas Valley and surrounding mountain communities.
Daniel represents clients in a wide range of corporate and commercial matters, including mergers and acquisitions, corporate governance, capital raises, debt financings, due diligence, entity formation/reorganization, and major contract negotiations and drafting. Daniel’s clients include a wide array of both community-focused businesses, startups, and national service providers.
From accounting firms to restaurants, AI-startups to private equity joint ventures; Daniel is a trusted advisor to his clients—helping business owners navigate complex legal frameworks and providing the critical information clients need to make informed, practical business decisions.
Daniel’s practice is not only informed by years of in-house and corporate law firm experience, it is also rooted in a deep understanding of the interrelationships and the tight-knit communities he works, lives, and plays in.
Outside of work, Daniel can typically be found running and skiing in the Sawatch mountains (his home range) and regularly competes in major national and international trail running and ski mountaineering events. Daniel is also actively involved in the local trail running community, leading group runs and coaching over a dozen trail runners and skiers living and working in the Arkansas Valley.
Experience
On behalf of a regional bike shop chain, advised client owners on the sale of a large regional on the sale and transfer of assets and operations to major international bicycle manufacturer, including negotiating terms and conditions, facilitating due diligence, and successfully completing and closing the transaction.
On behalf of a local commercial and residential cleaning business, successfully negotiated, documented, and facilitated a capital raise to fund a regional expansion in partnership with a third-party investment group.
On behalf of a cybersecurity audit firm, provide fractional general counsel legal services, including negotiating engage
On behalf of a SaaS technology startup, advised founders on structuring and forming appropriate legal entities, issuing multiple classes of stock, and developing an operating agreement structure designed to accommodate new investors and anticipated third-party outside investment within two years of formation.
On behalf of an alcoholic beverage manufacturer, negotiated debt financing terms for a >$5M brewery expansion to cover the costs of additional fermentation tanks and bottling equipment.
On behalf of a major national University, worked with senior administration and in-house legal counsel to review, update, and revise all educational policies and procedures related to student conduct and ensure accreditation compliance with all applicable changes.
